By-laws are documents used to govern the actions, rights
and duties of corporations. Basically it outlines how
a corporation can conduct its business. It is a critically
important document and one that should be adhered to
completely in order to maintain the formalities of a
corporation. Failure to adhere to the By-Laws could be
detrimental to maintaining the protections of a corporation.
It is used in conjunction with a corporation Articles
of Incorporation.
