This agreement allows the executing parties to memorialize
an overview of the potential relationship between the
parties, without entering into a definitive agreement.
It is a way to begin understanding the desires of each
party with regard to the transaction. It should only
be used in conjunction with a Mutual Non-Disclosure Agreement,
in order to protect the party's respective interests.
